Terms of Service

The following terms of service, govern your access to and use of The Animal List website, including any content, functionality and services offered on or through www.theanimallist.com by Pets on Q, Inc. All parties endeavor to follow industry best practices, including full, fair and effective disclosures of material facts relating to our relationship with each other.

We want all parties to feel welcome and included on the Platform. Accordingly, we prohibit discrimination against users, guests, or our representatives based on race, color, religion, sex, national origin, ancestry, ethnicity, immigration status, disability, marital, family, pregnancy status, sexual orientation, gender identity, gender expression, veteran or citizenship status, age, or any other characteristic protected under applicable federal, regional, state, or local law. Such discrimination includes, but is not limited to, refusing to provide or accept services or any other conduct that improperly takes into account these characteristics. This prohibition applies to the posting of discriminatory content, such as reviews, castings, listings, etc. We will, at our discretion, take steps to enforce this policy, up to and including suspension from the Platform for any parties who violate this policy. If you experience discrimination from anyone, please contact support HERE so we can investigate and take appropriate measures as needed.

For Animal Talent Buyers, by using the site, creating a profile and logging into your account, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service:

1. The Animal List (“Platform”) is a booking platform only, owned by Pets on Q, Inc.(“Company”).

2. The Platform is an online marketplace that is free for users to join, and we view our users as valued members of our community. While the Company does not actively monitor all site activity, we take issues of safety and industry standards seriously. If you encounter any content or practices that appear to be out of line with industry norms, unsafe, or unethical, please report them to our support team HERE. We will investigate promptly and take appropriate action as we deem necessary.

3. You represent and warrant that you are seeking animal talent for hire in various capacities (social media campaigns, in person events, set work, etc.), (“Animal Talent Buyer”) and that you are eighteen years of age, or older, and have the legal right to agree to these terms and are doing so at your own risk.

4. You hereby agree to uphold the highest standards of ethical behavior and treatment of any hired animal(s), and others, on any gig, in any capacity booked via the Platform. You further agree to adhere to all applicable state and federal laws and guidelines.

5. You hereby release the Company from all liability, loss, claims, suits or damages arising out of or in connection with any opportunity you work on, in any capacity, whether booked or not, via the Platform.

6. You hereby acknowledge and agree that Company’s relationships with its talent, including animal actors, content creators, animal professionals (handlers, wranglers, etc.), and any other talent that use the Company’s services on the Platform (“Animal Talent Sellers”) are of great value to the Company. During the term of your relationship with the Company, and for one (1) year thereafter, you will not directly or indirectly solicit or engage any Animal Talent Seller you have worked with on the Platform to purchase services from them similar to those booked by you on the Platform other than through the Platform.

7. You acknowledge and agree that requesting or providing email addresses, third party messaging applications, telephone numbers or any other personal contact details to communicate outside of the Platform is not permitted. Any necessary exchange of personal information required for a gig may be exchanged within the Platform messaging system. The Company does not provide protection for users who interact outside of the Platform. All information and exchanges must be performed exclusively on the Platform messaging system unless absolutely necessary.

8. You acknowledge and agree that certain gigs that offer local services (set work, parties, etc. ) might require Animal Talent Buyers and Animal Talent Sellers to meet in person in order for the Animal Talent Seller to complete the gig. In such cases, users should note that the Company does not guarantee the behavior, conduct, safety, suitability or ability of either Animal Talent Buyers or Animal Talent Sellers. Both Animal Talent Buyers and Animal Talent Sellers agree that the entire risk arising out of their meeting and/or their use or performance of local services remains solely with them, and the Company has no responsibility or liability related to any local services provided by the Animal Talent Sellers.

9. You acknowledge and agree that the Company does not provide any insurance coverage for any Animal Talent Sellers whatsoever. It is your responsibility to obtain and maintain any appropriate insurance coverage to protect against any and all risks on location and for in-person events (local services), including but not limited to injury, illness, or damage caused by or to Animal Talent Sellers, yourself, or any third-party during participation in any gig or related activities booked via the Platform.

10. You acknowledge that the Company. assumes no liability for any injury or stress, either physical or mental, that is incurred or caused by any Animal Talent Seller while creating content, traveling to location, while on location, or traveling home from location, or otherwise working in any position, on any gig in any capacity, booked via the Platform.

11. You hereby agree to provide or request any needed certifications, licenses and permits for any gig booked via the Platform.

12. You hereby agree to make all payments at the time of booking to the Company, whose receipt shall constitute a full and lawful receipt from you.

13. You acknowledge that you may not offer direct payments to Animal Talent Sellers using payment systems outside of the Platform. All transactions are subject to a 5% payment processing fee. All payments shall be collected via STRIPE at the time of booking. When the gig is marked complete by you, or 14 days after the completion date in the system, whichever is sooner, payment will be made automatically to the Animal Talent Seller.

14. You hereby agree to provide any contracts, creative briefs and any official paperwork to the Animal Talent Seller via Google Drive linked in the messaging system in the Platform. You further agree to clearly outline what the Animal Talent Seller will be expected to do, including, but not limited to, specific tasks, performance details, special requirements, the duration of the engagement, payment amount, parties involved, schedule, deadlines, additional legal protections, licensing and usage rights required, whitelisting details, key messaging, disclosures and any other pertinent information. You also agree that it is your responsibility to have any and all contracts and documentation executed by all parties as needed, in a timely manner.

15. When you book a gig on the Platform, you agree to fulfill your obligations as needed to support the successful completion of the job by the Animal Talent Seller. You may not cancel gigs without cause or on a regular basis. Canceling gigs will affect your ability to continue to do business on the site and may result in a fee.

16. If the booking is not accepted by the Animal Talent Seller it will automatically cancel in seven days and any pending charges will be deleted. If a booking cancellation is requested by either party after acceptance, it must be reviewed for manual cancellation and potential refund, less the 5% payment processing fee. In this instance, please contact support HERE for assistance immediately.

17. Although the Company tries to ensure that the information posted on the platform is accurate and up to date, we reserve the right to change or make corrections to any of the information (including pricing) at any time. We cannot, and do not, guarantee the correctness, timeliness, precision, thoroughness or completeness of any of the information available on the platform in any casting, listing or profile. Nor will the Company be liable for any inaccuracy or omission concerning any of the information or services provided by any Animal Talent Buyers or Sellers. No advice, results or information, whether oral or written, obtained by you from us through any services or gigs here shall create any warranty not expressly made herein.

18. You hereby agree that you will not “harvest,” “scrape,” “stream catch”, “farm” or collect information from the Services using an automated software tool (including but not limited to use of robots, spiders, or similar means), or manually on a mass basis (unless we have given you separate written permission to do so); This includes, for example, information about other Users of the Services and information about the offerings, products, services and promotions available on or through the Services; Circumvent or reverse engineer the Services or our systems or to gain unauthorized access to any areas of the Services, or any other systems or networks connected to the Services, or to any of the services offered on or through the Services that are not intended for access by you, by hacking, password “mining,” or any other illegitimate means; Use the Services to gain competitive intelligence about us, the Services, or any product offered via the Services or to otherwise complete with us or our affiliates, or use information on the Services to create or sell a similar product or information; Use the Services to promote spamming, chain letters, or other unsolicited communications; or engage in tactics, or direct or encourage others, to attempt to bypass the Services or our systems to avoid complying with any of our applicable policies, including these Terms, paying applicable fees, or complying with other contractual obligations, if any, and you will not violate any applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Services.

19. If you book a gig on the Platform requiring the Animal Talent Seller to post content on any social media platform, in any capacity, you hereby agree that you will require them to clearly disclose your “material connections” (i.e. the fact that your post is “sponsored”) by utilizing the appropriate hashtags (i.e. #ad) or branded content tools provided by the social media platform itself. The Company. is not responsible for any failure by the Animal Talent Seller to comply with the FTC Guides or any failure to obtain third-party clearances and permissions with respect to content they post.

20. You hereby acknowledge that no license or other right of any kind is granted by the Company or Animal Talent Seller to you, except as expressly provided in these Terms, unless otherwise specifically contracted. You shall not use the Company’s copyrights, trademarks, trade names, or other intellectual property in any way except to the limited extent as may be expressly agreed to in a specific gig booked herein.

21. You hereby acknowledge and agree that your relationship with the Company is that of an independent contractor. As an independent contractor, you are solely responsible for your own business operations, including but not limited to taxes, insurance, and any other obligations that arise in connection with these services. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, agency, or joint venture between you and the Company.

22. You hereby agree to hold all Confidential Information in strict confidence, not to disclose Confidential Information to any third parties, and to use Confidential Information solely for the purpose of fulfilling its obligations under these Terms. “Confidential Information” shall mean all information, excluding information available from the public domain, disclosed by the Company or Animal Talent Sellers to you related to these Terms, any gig booked herein, or the current, future, and proposed business, products, and services of the Company.

23. Any party may terminate these Terms and/or the Services immediately in the event of a material breach by any party. The Company may terminate these Terms and/or the Services immediately for any reason at any time, with or without cause. The Company has the right to deny access to, and to suspend or terminate your access to, the services, or to any features or portions of the Platform and/or services therein, and to remove and discard any content or materials you have submitted or received via the Platform, at any time and for any reason or for no reason and without notice to you.

24. You hereby agree that the Company and Animal Talent Sellers shall not be liable for any indirect, consequential, exemplary damages (including but not limited to lost profits) that occur as a result of any gig booked via the Platform.

25. You agree that regardless of any law to the contrary (including any relevant statutes of limitation), any claim or cause of action that you may have arising out of or related to the use of the Services, or these Terms, must be filed by you within one (1) year after such claim or cause of action accrued or be permanently barred.

26. If you are a California resident, you waive California Civil Code §1542, which states that “a general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” For avoidance of doubt, any disputes directly with us shall be handled in accordance with these Terms.

27. These Terms shall be governed in all respects by the laws of the State of California and you agree that unless otherwise indicated by the Company any action arising from or relating to these Terms shall be brought exclusively in a state or federal court located in Los Angeles County, California.

For Animal Talent Sellers, by using the site, creating a profile and logging into your account, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service:

1. The Animal List (“Platform”) is a booking platform only, owned by Pets on Q, Inc. (“Company”).

2. The Platform is an online marketplace that is free for users to join, and we view our users as valued members of our community. You represent and warrant that you are the owner of an animal or animals for hire in various capacities (social media campaigns, in person events, set work, etc.), and/or you are an animal professional (handler, wrangler, trainer, etc.) (“Animal Talent Seller”) and that you are eighteen years of age, or older, and have the legal right to agree to these terms and are doing so at your own risk.

4. You hereby agree to uphold the highest standards of ethical behavior and treatment of your animal(s), and others, while working in any position, on any gig, in any capacity booked via the Platform. You further agree to adhere to all applicable state and federal laws and guidelines.

5. You hereby release the Company from all liability, loss, claims, suits or damages arising out of or in connection with any opportunity you work on, in any capacity, whether booked or not, via the Platform.

6. You hereby acknowledge and agree that the Company’s relationships with its customers, including Brands, Clients, Production companies, Agencies and any other entities that use the Company’s services on the Platform (“Animal Talent Buyers”) are of great value to the Company. During the term of your relationship with the Company, and for one (1) year thereafter, you will not directly or indirectly solicit or engage any Animal Talent Buyer you have worked with on the Platform to purchase services from you similar to those provided by you on the Platform other than through the Platform.

In such cases, users should note that the Company does not guarantee the behavior, conduct, safety, suitability or ability of either Animal Talent Buyers or Animal Talent Sellers. Both Animal Talent Buyers and Animal Talent Sellers agree that the entire risk arising out of their meeting and/or their use or performance of local services remains solely with them, and the Company has no responsibility or liability related to any local services provided by the Animal Talent Sellers.

9. You acknowledge and agree that the Company does not provide any insurance coverage for you or your animal(s). It is your responsibility to obtain and maintain appropriate insurance coverage to protect against any and all risks, including but not limited to injury, illness, or damage caused by or to your animal(s), yourself, or any third party during participation in any gig or related activities, including but not limited to creating content, traveling to location, working on location, or traveling home from location, or otherwise working in any position, on any gig or opportunity, in any capacity, booked via the Platform.

10. You acknowledge that the Company. assumes no liability for any injury or stress, either physical or mental, that is incurred or caused by you, or your animal, while creating content, traveling to location, while on location, or traveling home from location, or otherwise working in any position, on any gig or opportunity, in any capacity, booked herein.

11. You hereby agree to provide any requested certifications or licenses as required by the Animal Talent Buyer. You hereby agree to utilize ethical standards and practices in the training of your animal and ensure that your animal is happy, healthy and ready to work when needed.

12. You hereby authorize and direct all Animal Talent Buyers to make all payments due and/or to become due hereunder to you in the name of the Company, whose receipt shall constitute a full and lawful receipt by you.

13. You acknowledge that you may not accept direct payments from Animal Talent Buyers using payment systems outside of the Platform. All transactions are subject to a 5% payment processing fee and a 15% marketplace fee, both of which are deducted from the amount paid by the Buyer prior to the final payment being made to you. All payments shall be made via STRIPE when the gig is marked complete by the Animal Talent Buyer, or 14 days after the completion date in the system, whichever is sooner.

14. You further acknowledge that you shall be responsible for any withholdings, taxes, agency and/or other fees due on and/or in connection with such total compensation payable herein. All parties agree that the Animal Talent Buyers only requirement in relation to the fee is to make payment to the Company and that you will look solely to the Company for any fee to be paid to you. You are solely responsible for, and will file on a timely basis, all tax returns and payments required to be filed with, or made to, any federal, state or local tax authority with respect to the performance of any services for gig, in any capacity booked herein, and receipt of fees under these Terms and will hold the Company. harmless from and against any tax liability associated with fees hereunder

15. You hereby agree to thoroughly review any contracts required by Animal Talent Buyers and address any questions or concerns immediately. Upon having all questions satisfied, you further agree to sign said contract(s), complete any start paperwork and sign any talent release form(s) required by the Animal Talent Buyer accurately and in a timely fashion.

16. When you book a gig on the Platform, you agree to fulfill the obligations required by the Animal Talent Buyer as listed in their Casting Call and any official paperwork they have you sign, in a timely fashion, to the best of your ability. You further agree that you will not defame or say anything inflammatory about the Company, the Platform and any Animal Talent Buyers that you interact with via the Platform, their products or services, in any capacity on any media, now known or otherwise. You may not cancel gigs without cause or on a regular basis. Canceling gigs will affect your ability to continue to do business on the site and may result in a fee.

17. If the booking is not accepted by you it will automatically cancel in seven days and any pending charges will be deleted. If a booking cancellation is requested by either party after acceptance, it must be reviewed for a manual cancellation. Violate any applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Services.

20. You hereby agree that you will respect the intellectual property rights of others, including, without limitation, copyrighted material, trademarks and logos, and trade secret rights, as well as rights of publicity, including the right to use another’s name, likeness, image, voice or other indicia of identity. If you are required to post content on any social media platform, in any capacity, you may not post or share any content that incorporates any of these elements without first obtaining written permission to do so from the rights holder.

21. If you are required to post content on any social media platform, in any capacity, you hereby agree that you will clearly disclose your “material connections” with the Animal Talent Buyer, (i.e. the fact that your post is “sponsored”) and you must include any hashtags requested by the Company and/or Animal Talent Buyer (such as #ad or #sponsored). The Company may provide recommendations and options for disclosures. The Company. is not responsible for any failure by you to comply with the FTC Guides or any failure by you to obtain all third-party clearances and permissions with respect to content you post.

22. You hereby acknowledge that no license or other right of any kind is granted by the Company or Animal Talent Buyer to you, except as expressly provided in these Terms, unless otherwise specifically contracted. You shall not use the Company’s copyrights, trademarks, trade names, or other intellectual property in any way except to the limited extent as may be expressly agreed to in a specific gig booked herein.

23. You hereby acknowledge that joining the Platform as an Influencer or Content Creator is a non-exclusive relationship, unless specifically contracted otherwise.

24. You hereby acknowledge that joining the Platform as a Wrangler and/or Animal Actor is an exclusive relationship for online booking platforms, and you further agree that you will not join any other online booking platforms for the purpose of booking set and print work during your relationship with the Company, unless specifically contracted otherwise.

25. You hereby acknowledge and agree that your relationship with the Company is that of an independent contractor. As an independent contractor, you are solely responsible for your own business operations, including but not limited to taxes, insurance, and any other obligations that arise in connection with the performance of your services. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, agency, or joint venture between you and the Company.

26. You hereby agree to hold all Confidential Information in strict confidence, not to disclose Confidential Information to any third parties, and to use Confidential Information solely for the purpose of fulfilling its obligations under these Terms. “Confidential Information” shall mean all information, excluding information available from the public domain, disclosed by the Company or Animal Talent Buyer to you related to these Terms, any gig/production booked herein, or the current, future, and proposed business, products, and services of the Company.

27. Any party may terminate these Terms and/or the Services immediately in the event of a material breach by any party. The Company may terminate these Terms and/or the Services immediately for any reason at any time, with or without cause. The Company has the right to deny access to, and to suspend or terminate your access to, the Platform, or to any features or portions of the platform and/or services therein, and to remove and discard any content or materials you have received or submitted via the Platform, at any time and for any reason or for no reason and without notice to you.

28. You acknowledge and agree that by signing up to be a part of the Platform and the Company talent roster, you agree to allow the Company., and it’s affiliates, a worldwide, non-exclusive right to promote and utilize your social media content, pages, analytics and demographics as we see fit. This includes, but is not limited to, sharing of content, pricing and analytical data with potential clients (i.e. brands, marketing companies, production, etc.) and reposting of any social media content from any of the your social media pages/blogs, YouTube accounts, etc. across all platforms, websites, marketing materials and fast channels owned by, or affiliated with, the Company, in any media, for any purpose. The Company reserves the right to modify your content based on best practices and industry style guides. We’d love to share your amazing content, however, if you ever wish to opt out of sharing, simply fill out this form, HERE, and we will respect your choice. You can use the same form to be removed from the Company talent roster at any time as well.

29. You hereby agree that you will not hold the Company or Animal Talent Buyer, or their respective licensees, responsible for any liability resulting from use of your Content in accordance with the terms hereof. The Company and Animal Talent Buyer shall not be liable for any indirect, consequential, exemplary damages (including but not limited to lost profits) and the combined, aggregate liability of the Company and Animal Talent Buyer hereunder shall not exceed the fees payable to you under the booked gig.

30. You agree that regardless of any law to the contrary (including any relevant statutes of limitation), any claim or cause of action that you may have arising out of or related to the use of the Services, or these Terms, must be filed by you within one (1) year after such claim or cause of action accrued or be permanently barred.

31.
